FULL TERMS AND CONDITIONS

Guccio Gucci Spa (hereinafter the “Promoter”) with registered offices in Via Tornabuoni 73/r, 50123 Firenze, Italy, is organizing this Promotion called “THE NORTH FACE x GUCCI SPECIAL ACCESS PROMOTION” (hereinafter the “Promotion”).

1. HOW TO ENTER

To enter the Promotion, visit the Promotion landing page available in the dedicated section on the gucci.com (the “Website”) home page and register for the Promotion following the on-screen directions: complete all required fields, accept the Terms and Conditions and the relevant Privacy Notice, and submit to enter (an “Entry”).

If you are a Canadian resident, to register for the promotion you must log-in with you My Gucci Account: if you are not registered yet, you can create a new one for free at Gucci.com. Also, you must and correctly answer mathematical skill-testing question (without assistance of any kind, mechanical or otherwise) in order to be eligible to win a prize.

2. ELIGIBILITY

Open only to legal residents of the 50 United States or the District of Columbia and Canada (the “Territory”) who have reached who have reached the legal age of majority in their state/province/territory of residence and are located in the Territory at the time of Entry. Guccio Gucci Spa (the “Promoter”), Promosfera Srl (the “Promotion Administrator”) and their respective parents, subsidiaries and affiliated companies, retailers, sales representatives, dealers, distributors, licensees and the advertising, fulfillment, judging and promotion agencies involved in the development and administration of this Promotion and each of their respective officers, directors, employees and agents (collectively, “Promotion Parties”), and their immediate family members and people living in the same households of each (whether related or not) are not eligible to participate in the Promotion. Promoter reserves the right to verify identification and eligibility. Void where prohibited by law. Other conditions of participation are set forth below in these terms and conditions for the Promotion (“Terms and Conditions”).

3. EARLY ACCESS TO PLATFORM

1400 randomly selected Promotion entrants will receive “Exclusive Access” for a limited “Early Access Period” to the e-commerce sales platform of the new “The North Face x Gucci” collection (the “Platform”). No value has been attributed to Exclusive Access to the Platform.

Please note that:

a. A valid MyGucci Account is required to enter the Platform. US winners who are not registered yet, must create a My Gucci Account for free on www.gucci.com using the same e-mail address used for entering the draw.

b. Exclusive Access will only give the opportunity to access and purchase in advance the items from the new “The North Face x Gucci” Platform. Entrants will not be offered discounts or price promotions on the Platform.

c. Early Access to the Platform does not imply any purchase obligation.

d. All products on the Platform are subject to availability.

e. In order to let everyone have a fair chance of purchase, the same user will not be entitled to purchase more than 3 pieces of the same item in the same size and a maximum number of 10 products of “The North Face x Gucci” collection during the Early Access period. In case a single user exceeds the purchase limit set during the Early Access Period, attentional purchases not yet delivered to the entrant will be canceled and, if applicable, refunded. Additional purchases will be allowed once the Platform is open to the public.

f. All purchases from the Platform will be subject to the Standard Terms of Sale, available at Gucci.com.

g. Early Access is provided to each specific, individual entrant selected in the “The North Face x Gucci” Special Access drawing and is not transferable.

h. Sharing or selling access to the Platform shall cause the entrant to be disqualified and access to the platform revoked.

4. PROMOTION PERIOD

The Promotion begins 10:00 AM CET (4:00 AM EST) on 23 December 2020 and ends 10:00 AM CET (4:00 AM EST) on 4 January 2021 (the “Promotion Period”).

5. LIMITATIONS

LIMIT ONE (1) ENTRY PER PERSON / EMAIL ADDRESS, AND LIMIT ONE (1) EARLY ACCESS PER PERSON / EMAIL ADDRESS. Duplicate signups constitute fraud. Promotion Parties are not responsible for: (i) electronic or digital transmissions, entries or mail that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected, non-delivered, or not received by Promoter or Promotion Administrator for any reason; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures (including but not limited to failures or malfunctions of phone

lines, mail delivery service, telephone systems or other communications systems), destruction of or unauthorized access to, or alteration of, entries, or for printing, distribution or production errors; (iii) failed or unavailable hardware, network, software or telephone transmissions; (iv) damage to participants' or any person's computer; (v) causes beyond Promotion Parties’ reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; (vi) incorrect or inaccurate Entry information whether caused by participants or by any of the equipment or programming associated with or utilized in the Promotion; (vii) any typographical or other error in the printing or advertising related to the Promotion, in the administration or execution of the Promotion, or in the announcement/notification of participants; (viii) by any human, or other error, which may occur in this Promotion; or (ix) cheating or fraud by any participant. All incomplete or non-conforming entries (as determined by the Promotion Administrator in its sole and absolute discretion) will be disqualified.

6. DRAWING

On or about January 5, 2021, in Somma Lombardo (VA), Italy, the Promotion Administrator will conduct a random drawing from among all eligible entries received during the entire Promotion Period. Odds of being selected in the drawing depend on the number of eligible entries received.

Winners will be contacted by email within approximately seven (7) calendar days of winners’ selection. The e-mail will include all necessary information to receive Early Access to the Platform.

7. CONDITIONS

Promoter’s decisions are final in all matters relating to this Promotion, including but not limited to validation of the eligibility process. The Promotion Parties accept no responsibility in the event that a winner cannot be contacted for any reason. The Promotion Parties are not responsible for any third-party acts. All participants will be notified by email and may be required to complete, sign and return validation documents (“Validation Documents”) within a stated amount of time. If any required Validation Documents or information are not received by the date stated on the notification, or if any notification is returned as non-deliverable, or if a participant is found to be ineligible or not in compliance with these Terms and Conditions, or does not return such other documents as deemed necessary by the Promotion Administrator, , as determined by the Promotion Administrator, in its sole and absolute discretion, may result in disqualification of the winner and forfeiture of Early Access, and the choosing of an alternate winner in a random drawing from among the remaining eligible entries. Promotion Parties are not responsible for any change of email address, mailing address and/or telephone number of participants. Promotion Parties assume no responsibility for lost, late, misdirected, stolen, illegible, inaccurate, damaged or incomplete entries or other communications, non-delivered or postage due mail, failure or unavailability of electronic equipment, communications or internet connections, or other errors, failures or malfunctions of any kind, including but not limited to human errors. Entries by automatic, programmed or like methods will be disqualified. Improper, incomplete, mutilated and illegible entries will be disqualified. This Promotion is subject to all applicable federal, state, provincial and local laws and regulations. By participating, participants agree to be bound by these Terms and Conditions and the decisions of the Promotion Administrator, which shall be final in all matters relating to the Promotion. In the event of a dispute regarding the identity of the person submitting an Entry, entries will be declared made by the person in whose name the Entry was submitted.

Regarding entries from Canada, the Promotion Administrator may, in its sole discretion, provide an alternate skill-testing question or vary the requirements to perform any skill-testing component of the Promotion to accommodate and include the participation of entrants with disabilities.

8. MODIFICATION, SUSPENSION AND TERMINATION

If, in Promotion Administrator’s sole opinion, the Promotion is not capable of running as planned, including because of war, terrorism, state of emergency or disaster (including natural disaster), infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, legal mandate, epidemic, pandemic or any other causes beyond the control of Sponsor or Promotion Administrator that corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, the Promotion Administrator reserves the right to modify, suspend and/or terminate the Promotion in a manner deemed reasonable by the Promotion Administrator, at the Promotion Administrator’s sole discretion. If the Promotion is terminated before the stated end date of the Promotion Period, the Promotion Administrator may select the winners in a random drawing from among all applicable eligible, non-suspect entries received as of the time/date of termination. Thereafter, Sponsor reserves the right to accept no further entries and award no further Early Access to the Platform. Promotion Administrator reserves the right to disqualify any individual who tampers with the entry process or the Website or acts in a disruptive or unfair manner.

9. RELEASES

By participating in this Promotion, entrants agree (and agree to confirm in writing): (a) to the maximum extent permitted by law, that all causes of action arising out of or connected with this Promotion, or any Early Access awarded, shall be resolved individually, without resort to any form of class action; (b) to release, defend, indemnify and hold harmless Promotion Parties and their respective successors and assigns from and against any liability, loss, claim or cause of action, including, but not limited to, injury, death or damages arising out of participation in this Promotion or the acceptance, possession, use or misuse of any Early Access to the Platform received in this Promotion or the use of any Entry; and (c) to waive all rights to claim punitive, indirect, incidental and consequential

damages, attorneys’ fees, court costs, or any damages other than actual out-of-pocket costs incurred to enter, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO APPLICABLE PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU.

10. PUBLICITY

Except where prohibited, participation in the Promotion constitutes each entrant’s permission for the Promoter and its agencies to use entrants' names, photographs, videos, voices and/or any other likenesses for purposes of advertising and publicity in all media now known or hereinafter invented without territorial or time limitations and without compensation or notice.

11. PRIVACY

The personal information collected through this Promotion is subject to Promoter’s Privacy Policy located at Gucci.com. By entering this Promotion, each Participant agrees that the Promoter, its agents and/or representatives (including the Promotion Administrator) may store, share and use the personal information he/she submitted with his/her Entry for the purpose of administering the Promotion and agrees to the collection, use and disclosure of his/her personal information as described in these Terms and Conditions, in the above Privacy Policy and as permitted by law. This section does not limit any other consent(s) that an individual may provide the Promoter or others in relation to the collection, use and/or disclosure of their personal information. Your personal data will be collected in Italy. By entering this Promotion, you expressly consent to the transfer of your personal information to countries outside of your country of residence, including without limitation, the USA, Canada and Italy. As a result, your personal information may be subject to access requests from governments, courts, or law enforcement in those jurisdictions according to laws in those jurisdictions. This section does not limit any other consent(s) that an individual may provide the Promoter or others in relation to the collection, use and/or disclosure of their personal information.

12. CHOICE OF LAW AND JURISDICTION

This Promotion is offered only in the Territory and is governed by the laws of the State of California, USA. By entering, Participants irrevocably consent to the sole and exclusive jurisdiction of the courts of the State of California, USA located in the county of Santa Clara for any action, suit or proceeding arising out of or relating to this Promotion.

13. SEVERABILITY & CONFLICTS

The invalidity or unenforceability of any provision of these Terms and Conditions shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Terms and Conditions shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials or made by any representative of Promoter or Promotion Administrator, and these Terms and Conditions, these Terms and Conditions shall prevail, govern and control.
